Merchloop Intellectual Property Use Policy

Merchloop is committed to respecting and upholding the intellectual property (IP) rights of all companies, brands, and creators. Our approach to using IP is guided by integrity, respect for legal boundaries, and adherence to authorized usage only. This policy outlines the principles and practices Merchloop follows concerning IP usage.

1. Authorized Use Only

Merchloop will not use any third-party intellectual property, including but not limited to logos, trademarks, copyrighted designs, or any other proprietary elements, without express authorization and consent from the rights holder. We will only use IP that has been explicitly approved by our direct customer, who must demonstrate their authorization to utilize that IP.

2. Verification of Consent

Before using any third-party IP, Merchloop will require written proof of authorization. This may include but is not limited to:

• License agreements
• Consent letters or emails from the IP owner
• Proof of ownership documentation

Merchloop reserves the right to verify the authenticity of the provided authorization with the IP owner directly if needed.

3. Scope of Use

The use of any authorized IP will be limited to the specific project, products, or purposes for which consent was granted. Merchloop will not extend, modify, or reuse any IP beyond the agreed-upon scope without further permission from the IP owner.

4. Prohibited Actions

Merchloop strictly prohibits:

• Using any IP without proper authorization
• Altering or modifying IP without express permission from the owner
• Misrepresenting the relationship between Merchloop and the IP owner
• Distributing, selling, or otherwise exploiting unauthorized IP

5. Customer Responsibility

Customers are solely responsible for providing accurate and valid authorization for any IP they request Merchloop to use. Merchloop disclaims any liability for unauthorized IP use initiated by the customer.

6. Legal Compliance

Merchloop will comply with all applicable laws and regulations concerning intellectual property. Any IP infringement claims against Merchloop will be handled promptly and in accordance with legal requirements.

7. Consequences of Violation

Violations of this policy may result in the suspension or termination of services, removal of infringing content, and potential legal action as required by law.
